Overview

Welcome to Vira.

The terms “Vira,” “we,” “us” and “our” refer to Vira Technologies Inc. Vira Technologies Inc. operates this website and online store, including the information, content, features, tools, products and services made available through it, collectively referred to as the “Services.”

These Terms of Service, together with any policies referenced in them, explain your rights and responsibilities when you access or use the Services or purchase a product from us.

By visiting, interacting with or using the Services, or by placing an order, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you should not access or use the Services.

Nothing in these Terms limits any consumer rights that cannot legally be limited or excluded under the laws that apply where you live.

Section 1: Eligibility and accounts

You must be at least the age of majority in your province, state or country of residence to place an order through the Services.

When using the Services or placing an order, you may be asked to provide information such as your name, email address, billing information, payment details and shipping address. You agree to provide information that is current, complete and accurate.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You may not transfer, sell or assign your account to another person.

We may send you transactional communications relating to your account, order, preorder, payment, shipping, product updates, returns or warranty claims. Marketing communications will be sent only as permitted by applicable law, and you may unsubscribe from them at any time.

Section 2: Product information

We make reasonable efforts to describe and display our products accurately. However, colours and product appearance may vary depending on your device, screen settings and other factors outside our control.

Product dimensions, capacities, performance estimates and other specifications are based on the information available when they are published. Unless expressly stated otherwise, performance statements are estimates and may vary depending on product setup, plant type, soil, environment, usage and other conditions.

Some images may show prototypes, renders or pre-production units. Final production units may include reasonable, non-material changes resulting from product testing, engineering, component availability or manufacturing.

If we make a material change to a product after you have placed a preorder, we will notify you and give you an opportunity to accept the change or cancel your preorder for a full refund before shipment.

Product descriptions, specifications and availability may be updated from time to time. Changes made after an order has been accepted will not materially reduce the product you purchased without your agreement.

We reserve the right to discontinue a product or limit the quantity available to any customer, household, geographic region or jurisdiction.

Section 3: Preorders

Certain Vira products may be offered for preorder before manufacturing and testing have been completed.

By placing a preorder, you understand and agree that:

  • The product is still undergoing development, testing and manufacturing.
  • Product images may show prototypes, renders or pre-production units.
  • The estimated shipping date is not a guaranteed delivery date.
  • Reasonable, non-material changes may be made before production.
  • Full payment may be collected when the preorder is placed, as disclosed at checkout.

Vira preorders are currently scheduled to begin shipping in January 2027. We will provide updates as we move through testing and manufacturing, including if the estimated shipping timeline changes.

You may cancel your preorder for a full refund at any time before it ships. To cancel, contact us at hello@viraplants.com with your name and order number.

Once your preorder has shipped, cancellations, returns and refunds will be governed by our Return and Refund Policy.

If we determine that we are unable to fulfill your preorder, we may cancel it and issue a full refund to your original payment method.

Section 4: Orders

When you place an order, you are offering to purchase the selected products under these Terms.

We reserve the right to accept or decline an order. We may cancel or limit an order where we reasonably believe that:

  • The order information is incomplete or inaccurate.
  • Payment cannot be authorized or processed.
  • The order appears fraudulent or unauthorized.
  • A pricing or product information error has occurred.
  • The order violates a purchase limit.
  • We cannot ship to the requested location.
  • Accepting the order would violate applicable law.

If we cancel an order after payment has been collected, we will refund the amount paid for the cancelled products.

Your purchase contract includes the product information and pricing shown at checkout, your order confirmation, these Terms and any policies or promotional terms referenced at the time of purchase. If product-specific terms conflict with these general Terms, the product-specific terms will govern for that purchase.

We will send an order confirmation to the email address provided during checkout. Please retain a copy for your records.

You represent that products purchased through the Services are for your personal or household use and not for unauthorized resale or export.

Section 5: Prices, payments and billing

Prices, discounts and promotions may change without notice. The price charged will be the price displayed at checkout when your order is placed, subject to the correction of genuine pricing errors.

Unless otherwise stated, product prices do not include applicable taxes, shipping charges, customs duties, brokerage fees or import charges.

The applicable currency will be displayed before you complete your purchase. International customers may be charged currency-conversion or foreign-transaction fees by their bank or payment provider. Vira does not control these fees.

You agree to provide current, complete and accurate billing and payment information. You represent that you are authorized to use the payment method provided and that charges incurred in connection with your order will be honoured by the payment provider.

Promotions may be subject to separate conditions, including eligibility requirements, expiration dates and purchase limits. If promotional terms conflict with these Terms, the promotional terms will govern for that promotion.

Section 6: Shipping and delivery

Shipping methods, costs and available delivery locations will be displayed at checkout where possible.

Shipping dates and delivery times are estimates unless we expressly state otherwise. Delivery may be affected by manufacturing, carrier operations, customs processing, weather, supply-chain interruptions or other circumstances outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. Contact us promptly if you notice an error. We cannot guarantee that an address can be changed after an order has entered fulfillment.

International orders may be subject to customs duties, taxes, brokerage fees or other import charges imposed by the destination country. Unless otherwise stated at checkout, these charges are the customer’s responsibility.

We remain responsible for fulfilling accepted orders. If a package is lost, damaged or incorrectly delivered, contact us at hello@viraplants.com and we will work with you and the carrier to resolve the issue.

Nothing in this section limits any cancellation or refund rights that apply under our policies or applicable consumer-protection laws.

Section 7: Returns, refunds and warranty

Preorders may be cancelled for a full refund at any time before shipment.

After delivery, eligible Vira products include a 45-day risk-free trial, subject to the conditions in our Return and Refund Policy.

Every Vira unit also includes a one-year limited warranty covering defects in materials or workmanship. Warranty coverage does not include normal wear and tear, accidental damage, misuse, unauthorized modifications or damage caused by failing to follow product instructions.

The 45-day trial and one-year limited warranty are in addition to any consumer rights or legal warranties that cannot be excluded under applicable law.

Section 8: Product use and plant care

Vira is designed to assist with scheduled plant watering. It does not replace appropriate plant care, proper setup or reasonable monitoring.

Plant health depends on many factors outside our control, including:

  • Plant species and condition
  • Soil type and drainage
  • Light exposure
  • Temperature and humidity
  • Pot and nursery-container setup
  • Watering schedules
  • Fertilizer, pests and disease
  • User setup and maintenance

We do not guarantee the health, growth or survival of any plant used with a Vira product.

You are responsible for following all setup, operation, cleaning, charging, safety and maintenance instructions provided with the product.

Do not use a damaged, leaking or improperly assembled product. Stop using the product and contact us if you notice damage, unusual operation or a possible safety issue.

Before placing Vira on moisture-sensitive furniture, shelves or flooring, ensure it is assembled correctly and check for signs of leaks or damage. Use reasonable care around water, batteries, electronics and charging components.

Vira products must not be modified, disassembled or used for purposes inconsistent with their instructions.

Nothing in this section excludes responsibility that cannot legally be excluded.

Section 9: Intellectual property

The Services, including our trademarks, brand names, product designs, text, images, graphics, videos, audio, software, website design and arrangement of content, are owned by or licensed to Vira Technologies Inc. and are protected by Canadian and other applicable intellectual-property laws.

You may access and use the Services for personal, non-commercial purposes only.

Without our prior written permission, you may not:

  • Reproduce, copy or republish material from the Services.
  • Modify or create derivative works from our content.
  • Sell, license or commercially exploit our content.
  • Use our trademarks, logos or product designs.
  • Remove copyright, trademark or ownership notices.
  • Use our content in a manner that suggests an unauthorized affiliation with Vira.

No rights or licences are granted except those expressly stated in these Terms.

“Vira,” our logos, product names, designs and slogans are trademarks or other intellectual property of Vira Technologies Inc. Shopify’s name, logos and trademarks belong to Shopify. Other names and marks belong to their respective owners.

Section 10: Optional and third-party tools

We may provide access to tools, software, applications or functionality offered by third parties.

We do not control third-party tools and may not monitor their operation. Your use of a third-party tool may also be governed by that provider’s terms and privacy policy.

To the extent permitted by law, third-party tools are provided on an “as available” basis without endorsement or separate warranty from Vira. You should review the applicable third-party terms before using them.

We may introduce, modify or discontinue features, tools and resources through the Services. New features offered directly by us will be subject to these Terms unless separate terms are provided.

Section 11: Third-party links

The Services may contain links to third-party websites, content or services.

We are not responsible for the availability, accuracy, privacy practices or content of third-party websites. Accessing a third-party website is at your discretion and may be subject to separate terms and policies.

Questions, complaints or claims concerning third-party products or services should be directed to the applicable third party.

Section 12: Relationship with Shopify

Vira Technologies Inc. is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make through our store are made directly with Vira Technologies Inc.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Vira Technologies Inc., including injury, damage or loss resulting from purchased products and services.

To the fullest extent permitted by applicable law, you release Shopify and its affiliates from claims, damages and liabilities arising from or related to purchases and transactions with Vira Technologies Inc.

Section 13: Privacy

Personal information collected through the Services is handled in accordance with our Privacy Policy:

Because the Services are hosted by Shopify, Shopify may collect and process personal information about your access to and use of the Services to operate and improve its platform.

Information may also be shared with payment processors, fulfillment providers, analytics providers and other service providers needed to process orders and operate the Services.

These providers may process information in countries other than the country where you live. Please review our Privacy Policy for more information about how personal information is collected, used, stored and shared.

Section 14: Feedback and reviews

You may submit feedback, ideas, suggestions, reviews, photos, videos or other content to us.

You retain ownership of content you submit. However, by submitting content to us or posting content through the Services, you grant Vira a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to use, reproduce, modify, publish, translate, distribute and display that content for purposes including operating, improving and promoting Vira and the Services.

You represent that:

  • You own the submitted content or have permission to provide it.
  • The content is accurate to the best of your knowledge.
  • You have disclosed any compensation or incentive connected to the submission.
  • The content does not violate another person’s rights or applicable law.
  • The content does not contain malicious software or harmful code.

We are not required to keep feedback confidential, provide compensation or respond to a submission unless we have agreed otherwise in writing.

We may remove content that is unlawful, abusive, deceptive, infringing, obscene, threatening or otherwise violates these Terms.

Nothing in these Terms prevents you from posting or communicating an honest review of Vira, our products or your experience with us.

Section 15: Errors and inaccuracies

The Services may occasionally contain typographical errors, inaccurate information or omissions relating to product descriptions, pricing, promotions, shipping charges, availability or delivery estimates.

We may correct errors and update information. If an error affects an order you have already placed, we will notify you where reasonably possible.

We will not increase the amount charged for an accepted order without your agreement. If a genuine pricing or product-information error prevents us from fulfilling an order as placed, we may offer you the option to proceed under the corrected terms or cancel for a full refund.

Section 16: Prohibited uses

You may use the Services only for lawful purposes.

You must not use the Services to:

  • Violate any applicable law or regulation.
  • Infringe our rights or the rights of another person.
  • Submit false, fraudulent or misleading information.
  • Harass, threaten, abuse, defame or harm another person.
  • Impersonate another person or organization.
  • Transmit viruses, malware or harmful code.
  • Send spam, phishing messages or unauthorized solicitations.
  • Collect personal information about others without authorization.
  • Interfere with the operation or security of the Services.
  • Circumvent access controls, rate limits or technical restrictions.
  • Make fraudulent purchases or payment disputes.
  • Reproduce, scrape, extract, sell or commercially exploit the Services without authorization.

Automated tools, crawlers and agents may access the Services only in accordance with applicable law, our published technical instructions and any access restrictions we implement. They must not conceal their automated nature, bypass security measures or interfere with the Services.

We may suspend or terminate access if we reasonably believe these Terms have been violated.

Section 17: Suspension and termination

We may suspend or terminate your access to all or part of the Services if you violate these Terms, misuse the Services or create a security, legal or operational risk.

Termination of website or account access does not eliminate:

  • Payment obligations incurred before termination.
  • Our responsibility to fulfill an accepted order.
  • Your right to cancel an eligible preorder.
  • Your rights under our Return and Refund Policy.
  • Applicable warranty obligations.
  • Consumer rights that survive termination.

Sections that are intended by their nature to continue after termination will remain in effect, including sections relating to intellectual property, feedback, disclaimers, liability, indemnification, governing law and amounts owed.

Section 18: Disclaimer of warranties

Information provided through the Services is for general informational purposes. We do not guarantee that all content will always be complete, current or error-free.

Except for warranties expressly provided by Vira and rights that cannot legally be excluded, the Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we do not guarantee that:

  • The Services will always be available, uninterrupted or error-free.
  • Website defects will always be corrected immediately.
  • The Services will be free from viruses or harmful components.
  • A product will achieve a specific result not expressly guaranteed by us.
  • Use of Vira will guarantee the health or survival of a plant.

Some jurisdictions do not permit the exclusion of certain implied warranties. Where those laws apply, the exclusions in these Terms apply only to the extent legally permitted.

Section 19: Limitation of liability

To the fullest extent permitted by law, Vira Technologies Inc. and its directors, officers, employees, contractors, agents, affiliates, licensors and service providers will not be liable for indirect, incidental, special, punitive or consequential damages, including lost profits, lost revenue, lost savings, loss of data or replacement costs, arising from your use of the Services or products.

Where liability cannot be excluded, our total aggregate liability relating to a product or order will not exceed the amount you paid for the product or order giving rise to the claim, except where a different limitation is required by law.

Nothing in these Terms excludes or limits liability for:

  • Fraud or fraudulent misrepresentation.
  • Gross negligence or wilful misconduct.
  • Death or personal injury where liability cannot be excluded.
  • Breach of legal obligations that cannot be excluded.
  • Consumer rights or remedies that cannot legally be waived.

Section 20: Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Vira Technologies Inc. and its directors, officers, employees, contractors and service providers from third-party claims, losses and reasonable legal costs arising directly from:

  • Your unlawful or unauthorized use of the Services.
  • Your material breach of these Terms.
  • Your infringement of another person’s rights.
  • Content you submit that violates applicable law or another person’s rights.

This section does not apply to claims caused by Vira’s negligence, breach of contract or violation of law.

Section 21: Events outside our control

We are not responsible for delay or failure caused by circumstances outside our reasonable control, including natural disasters, severe weather, wildfire, labour disruption, transportation interruption, customs delays, component shortages, supplier failures, government action, war, civil unrest, epidemics, utility outages or failures of telecommunications systems.

We will take reasonable steps to reduce the effect of such events and will provide updates when they materially affect an accepted order.

This section does not limit your right to cancel a preorder, receive an applicable refund or exercise rights available under consumer-protection law.

Section 22: Severability

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision will be enforced to the greatest extent legally permitted or severed from these Terms.

The remaining provisions will continue in full force and effect.

Section 23: Waiver and entire agreement

A failure by either party to enforce a right or provision of these Terms does not waive that right or provision.

These Terms, together with the product information displayed at the time of purchase, your order confirmation and the policies incorporated by reference, form the agreement between you and Vira concerning the Services and your purchase.

They replace prior communications or proposals concerning the same subject, except for representations or rights that cannot legally be excluded.

Section 24: Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations as part of a merger, acquisition, financing, corporate reorganization or sale of all or part of our business, provided that doing so does not reduce your rights under an accepted order.

Section 25: Governing law

These Terms and any disputes arising from them are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia.

Subject to any mandatory consumer rights or jurisdictional protections that apply where you live, you and Vira Technologies Inc. submit to the jurisdiction of the courts of British Columbia.

Nothing in this section requires you to waive a right to bring a claim, join a class proceeding or use a dispute-resolution process available under applicable law.

Section 26: Changes to these Terms

You may review the current version of these Terms on this page.

We may update these Terms from time to time by posting a revised version and changing the “Last updated” date.

Changes will apply prospectively from their effective date. The Terms that apply to a purchase are generally those in effect when the order is placed.

We will not apply a later change to an accepted order where the change would increase your obligations or reduce ours, unless the change is required by law or you expressly agree to it.

Where required by applicable law, we will provide notice of material changes.
